By accessing or using the bindIQ platform, including our website, applications, and related services (collectively, the "Service"), you agree to be bound by these Terms of Use. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree to these terms, do not use the Service.

2. Description of Service

bindIQ provides policy intelligence and workflow automation tools for insurance agencies, including but not limited to: comparison of policy documents, analysis of carrier proposals, extraction and normalization of policy data, and generation of ACORD and other submission forms. The Service may use artificial intelligence and other automated processes to assist with these functions. All outputs are intended for review and approval by qualified insurance professionals before use in any client or regulatory context.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these terms and with all applicable laws, including insurance and data protection laws. You may not use the Service to transmit any content that is illegal, harmful, infringing, or that you do not have the right to provide. You are responsible for the accuracy and completeness of any data you upload and for ensuring that your use of the Service and any outputs complies with your professional obligations and applicable regulations.

4. Data and Confidentiality

Your use of the Service may involve uploading policy documents, client information, and other data. Our handling of that data is described in our privacy and security practices. You retain ownership of your data. We do not use your data to train our models. You are responsible for obtaining any necessary consents and for ensuring that your use of the Service does not violate any confidentiality or privacy obligations you owe to clients or third parties.

5. No Professional Advice

The Service is a tool to assist insurance professionals. It does not constitute legal, insurance, or other professional advice. You are solely responsible for evaluating the accuracy and suitability of any outputs and for any decisions or actions you take based on them. The Service does not replace the judgment of licensed agents, brokers, or other qualified personnel.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. USE OF AI AND AUTOMATED TOOLS INVOLVES INHERENT LIMITATIONS; WE DISCLAIM ANY WARRANTY REGARDING THE ACCURACY OR COMPLETENESS OF OUTPUTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BINDIQ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless bindIQ and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these terms, or your violation of any third-party rights or applicable law.

9. Governing Law and Venue

These Terms of Use shall be governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms or the Service shall be brought exclusively in the state or federal courts located in West Virginia, and you consent to the personal jurisdiction of such courts.

10. Changes to the Terms

We may modify these terms from time to time. We will post the updated terms on this page and update the "Last updated" date. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised terms. If you do not agree to the new terms, you must stop using the Service.

11. General

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. These terms constitute the entire agreement between you and bindIQ regarding the Service and supersede any prior agreements. We may assign these terms in connection with a merger, acquisition, or sale of assets; you may not assign without our prior written consent.
